Private Funds Of Counsel Attorney

Position Overview
We are seeking a highly skilled and experienced Private Funds Of Counsel Attorney to join our legal team. The successful candidate will provide expert legal advice and guidance on private funds and private equity matters, ensuring compliance with all applicable laws and regulations. This role is essential in supporting our clients in navigating complex legal frameworks while optimizing their fund structures and investment strategies.

Key Responsibilities

Provide legal counsel on the formation, structuring, and operation of private funds and private equity investments.
Draft and negotiate fund documentation, including limited partnership agreements, offering memoranda, and subscription agreements.
Advise clients on regulatory compliance, including issues related to the Investment Company Act and the Investment Advisers Act.
Conduct legal research and analysis to support clients' needs in private fund transactions.
Collaborate with internal teams and clients to develop tailored solutions for their specific fund and investment strategies.
Stay updated on legal developments and industry trends affecting private funds and private equity.
Assist in the resolution of legal disputes and issues affecting private funds.
Strong understanding of relevant laws and regulations governing private funds.
Excellent drafting, negotiation, and communication skills.
Ability to work independently and collaboratively in a fast-paced environment.

Qualifications

Juris Doctor (JD) from an accredited law school.
Active membership in the Colorado Bar (CO Bar) and/or California Bar (CA Bar)
Minimum of 7 years of experience in a law firm or corporate legal department with a focus on private funds and private equity.
